The phrases that worry a business lawyer the most

Almost every major business problem starts small.

Often, it does not begin with a lawsuit, the breakup of a partnership or an obvious financial loss. It begins with postponed decisions, informal agreements and phrases that seem harmless in day-to-day work.

“We’ll sort it out later.”

“It’s never been a problem.”

“We agreed on it verbally.”

“My partner is my friend.”

“I got a contract off the internet.”

When these phrases become part of a company’s routine, it is time to pay attention. Companies do not grow on trust and good intentions alone. They need organization, clarity and legal certainty.

“We’ll sort it out later”

Postponing a legal decision may seem like a way to save time or money. The problem is that something that could be organized simply today may become a much more difficult situation tomorrow.

Unsigned contracts, unformalized corporate changes, employment relationships handled without guidance and ignored obligations can lead to financial consequences and unnecessary conflicts.

The longer a situation remains undefined, the greater the risk to the company may be.

“It’s never been a problem”

The fact that something has never caused problems does not mean it is correct or safe.

Many companies repeat the same procedures for years without reviewing contracts, internal documents or employment practices. Everything seems to work well until an inspection, a collection claim, a disagreement between partners or a dispute with a client arises.

Legal prevention should not begin only after the problem appears. Its purpose is precisely to identify risks before they harm the business.

“We agreed on it verbally”

A person’s word has value, but it can be hard to prove exactly what was agreed when different versions of the same conversation emerge.

What was the deadline? What was the amount? Who was responsible for each stage? What would happen in case of delay or breach?

Without a clear document, these questions can turn into long and draining disputes.

A well-drafted contract does not signal a lack of trust. It protects the relationship, organizes expectations and provides certainty for everyone involved.

“My partner is my friend”

Many partnerships start between friends or family members. That closeness can be positive, but it does not replace clear rules.

Even when there is trust, it is necessary to define responsibilities, profit sharing, decision-making power, investments, financial withdrawals and procedures for the exit of a partner.

People change, goals may diverge and the company may face difficult times.

An appropriate shareholders’ agreement is not only for conflict situations. It helps preserve the partnership and even the friendship.

“I got a contract off the internet”

Templates found online may seem practical, but they rarely take into account the specific needs of each company.

A generic contract may fail to address important risks, contain clauses that do not match the negotiation or create a false sense of security.

Every commercial relationship has its own characteristics. Deadlines, responsibilities, payment terms, confidentiality, intellectual property, penalties and termination conditions must be assessed according to the reality of the business.

A contract should follow the company’s operations, not merely fulfill a formality.

Improvisation also creates risk

Trust is important in any business relationship. However, when the entire operation depends on it alone, the company may become vulnerable.

Legal certainty is built through well-defined processes,

appropriate documents and decisions made with proper guidance.

This does not mean making every activity bureaucratic. It means creating a structure capable of protecting the company’s assets, relationships and continuity.

Because that is exactly how many problems begin: with a seemingly small decision that was left for later.

Preventive legal counsel allows business owners to make decisions with greater clarity, reduce risks and build a structure prepared to grow safely.
