The articles of association (contrato social) are the legal foundation for setting up a company, regardless of its size or line of business. They define the structure of the company, the responsibilities of the partners and the rights and duties of each one. In this article, LCB Advocacia explains the key points that business owners and entrepreneurs should know about the articles of association, a document that goes beyond a mere formality and is essential for the proper functioning and legal certainty of the business.

What are the articles of association?

The articles of association are the document that formalizes the creation of a company, setting out matters such as the nature of the business, the partners' holdings, the rules for managing the company and how profits are distributed. They are mandatory for limited liability companies (sociedades limitadas) and, in some cases, may be required for other types of companies. Without them, the company has no legal personality and cannot operate lawfully.

Key elements of the articles of association

Identification of the partners:

The articles must contain the partners' full details, including name, nationality, marital status, occupation, CPF (individual taxpayer ID) and RG (identity card).

Corporate purpose:

This is the company's main line of business, in other words, what the company is going to do. Clearly defining the corporate purpose helps avoid legal problems down the road.

Share capital:

The articles must state the amount of the share capital, which is the sum of the initial contributions made by the partners to form the company's assets. Defining the share capital is important to establish each partner's liability.

Quotas:

Each partner receives a number of quotas representing his or her interest in the share capital, as well as his or her rights and responsibilities within the company.

Management of the company:

The articles must define who will manage the company (one or more partners, or third parties) and their authority and powers to conduct the company's business.

Profit distribution:

The articles must set the rules on how profits will be distributed among the partners, either in proportion to their quotas or in another manner agreed between them.

The importance of well-drafted articles of association

The articles of association should be drafted carefully and thoroughly. A well-structured document prevents future conflicts between partners and protects the company's interests. It is also essential for obtaining registrations and licenses, such as the CNPJ (corporate taxpayer ID), and for entering into contracts with third parties.

Can the articles of association be amended?

The articles of association are not set in stone. Over the life of the company, changes may be needed, such as admitting new partners, changing the share capital or changing the corporate purpose. To make these changes, an amendment must be drafted and registered with the Board of Trade (Junta Comercial).

The articles of association are the starting point for any company, serving as an essential tool for organization and legal protection. Investing time and resources in clear, well-structured articles can prevent many legal problems in the future. If you are setting up your company or considering amendments to your company's articles of association, consult a lawyer to make sure all legal requirements are met.
